This agreement regulates a situation where for example, owner of a website offers it for an annual fee to someone else, for that third party to operate as if it was his own.
The website continues to be hosted through the licensor, who receives a fee for this service, ongoing. Note that hosting terms are not included as they may be extensive. A flexible and comprehensive website hosting agreement is Net Lawman ZA-ECM061 which is introduced here.
The licensor may have just one site which he is reluctant to sell or he may make a business out of writing and licensing sites to others.
The advantage of a license to the licensor is that he retain possession and control of the website. The advantage to the licensee is that he has a site immediately and pays an annual fee rather than a capital sum.
The document include provisions for:
- terms of the agreement for sale and list of subject matter of sale;
- allocation of purchase price, when and how it is to be paid;
- what happens to complete the transaction;
- licensor's warranties;
- licensee’s warranties - what the licensee may and may not do with the website;
- mediation of a dispute before court action;
